1. About This Website and These Terms

This website, www.restorahomebuyers.com (the "Website"), is owned and operated by Restora Capital Group, LLC, doing business as Restora Home Buyers ("Restora," "Restora Home Buyers," "we," "our," or "us"), a Florida limited liability company.

These Terms of Use (the "Terms") apply to your access to and use of the Website, including the information, tools, forms, features, and services made available through it. When the Website presents a checkbox, button, or similar mechanism asking you to accept these Terms, your affirmative acceptance constitutes your electronic agreement to them. These Terms apply only to your use of the Website and related online communications. If you later enter into a written real estate purchase agreement with Restora, that separate agreement will govern the real estate transaction.

Our Privacy Policy and Mobile Terms of Service are incorporated into these Terms where applicable. Please review those documents together with these Terms.

2. Eligibility and Authority to Use the Website

By using the Website or submitting information through it, you represent that you:

  • Are at least 18 years old and have the legal capacity to use the Website;
  • Are authorized to provide information concerning any property submitted through the Website;
  • Will provide information that is materially accurate and complete to the best of your knowledge; and
  • Will use the Website only for lawful purposes.

You do not need to be a U.S. resident to use the Website. However, any property submitted for evaluation must be located in a market in which Restora is willing and legally able to evaluate a potential transaction.

We may decline an inquiry, suspend access to the Website, or discontinue communications when reasonably necessary to protect our business, comply with law, address suspected fraud, or manage inquiries outside our investment criteria.

3. Our Role and the Nature of Our Business

Restora is a real estate investment company. Depending on a particular transaction, Restora may purchase a property directly, acquire it through an affiliated entity, work with an investment partner, assign contractual rights where legally permitted, complete a double closing, or use another lawful acquisition structure appropriate to the transaction.

Unless expressly stated in a separate written agreement, Restora represents its own interests and does not act as your real estate broker, real estate agent, attorney, tax advisor, financial advisor, appraiser, or fiduciary. Information on the Website is provided for general informational purposes and should not be treated as professional advice.

Any discussion of property value or any proposed purchase price reflects Restora's investment evaluation and is not an appraisal, broker price opinion, or guarantee of fair market value. Homeowners are encouraged to seek independent legal, tax, financial, or real estate advice when appropriate.

Direct Sale vs. Traditional Sale. A direct-sale offer from Restora may differ from the price a homeowner could potentially receive by listing a property on the open market. Our evaluation may consider property condition, anticipated repairs, market conditions, closing costs, holding costs, transaction risk, timing, and the convenience of a direct sale. You are free to compare alternatives and decide which option best fits your goals.

4. Requesting an Offer and the Home Sale Process

4.1 Submitting a Property Inquiry. When you submit information through the Website, you authorize Restora to review that information for the purpose of determining whether the property may fit our investment criteria. You agree to provide information that is accurate to the best of your knowledge. Material differences between the information submitted and the actual condition, ownership, title status, occupancy, or other characteristics of the property may affect any proposed purchase price or transaction terms.

Submitting an inquiry does not require Restora to make an offer, and it does not require you to sell your property. Restora may decline to pursue a property for any lawful business reason, including property type, location, condition, title issues, pricing, market conditions, or investment criteria.

4.2 Preliminary Discussions and Offers. Any price, range, indication of interest, or proposed offer communicated before execution of a written purchase agreement is preliminary and may be revised or withdrawn. Restora may request additional information, review public records, evaluate comparable sales, inspect or walk through the property, review title matters, or conduct other reasonable due diligence before finalizing transaction terms.

There is no guarantee that a direct sale to Restora produces a higher number than what patience, repairs, staging, and a traditional listing might eventually bring. We simply cannot make that promise, and we would rather be upfront about it than oversell our offer. The value of a direct sale may include convenience, a simplified process, reduced preparation, flexible timing, and other terms in addition to the purchase price.

4.3 Purchase Agreement. If you decide to proceed, the parties will enter into a written purchase agreement (the "Purchase Agreement"). The Purchase Agreement, not this Website, creates the binding obligations relating to the purchase and sale of the property. If any provision of the Purchase Agreement conflicts with these Terms concerning the real estate transaction, the Purchase Agreement controls.

4.4 Closing Costs, Liens and Property Charges. The Purchase Agreement will identify which party is responsible for closing costs, taxes, assessments, liens, homeowners association amounts, and other transaction expenses. Where Restora agrees to pay certain customary closing costs, that commitment will be stated in the Purchase Agreement. Amounts owed by the homeowner that relate to the property, including mortgages, liens, delinquent taxes, association balances, or similar obligations, may be paid from the homeowner's proceeds at closing.

4.5 Property Condition and Due Diligence. Restora evaluates properties in a wide range of conditions and may agree to purchase a property in its existing condition. We may conduct one or more property visits, walkthroughs, inspections, title reviews, or other due diligence before closing. If due diligence reveals a material condition that was unknown or materially different from information previously provided, the parties may discuss revised terms as permitted by the Purchase Agreement.

5. Communications by Phone, Email and Text Message

If you affirmatively consent through our Website or another approved consent process, Restora may contact you at the telephone number or email address you provide regarding your property inquiry. Communications may include responses to your inquiry, scheduling information, offer updates, transaction-related messages, and, where you have provided any consent required by law, marketing communications.

Communications may be made by telephone, email, or text message using technology permitted by applicable law. Message frequency varies. Message and data rates may apply. Consent to marketing communications is not a condition of requesting an offer, receiving services, or selling a property to Restora.

Florida residents. Restora will conduct telephone and text-message outreach in accordance with applicable Florida law. Where prior express written consent is required, we will seek that consent through a clear opt-in process. We also intend to honor applicable calling-hour restrictions, frequency limits, opt-out requests, and other requirements that apply to our communications.

You may withdraw consent to receive text messages at any time by replying STOP. After your request is processed, we will stop sending SMS messages to that number except for a confirmation message or as otherwise permitted by law. For assistance, reply HELP. You may also contact us at info@restorahomebuyers.com. Requests to stop marketing calls or emails will be honored in accordance with applicable law and our internal suppression procedures. We may continue to communicate through non-SMS channels regarding an active transaction when appropriate.

Additional information about our SMS program is available in our Mobile Terms of Service. Our Privacy Policy explains how we handle contact information and consent records.

6. Mobile Terms of Service

If you enroll in a Restora text messaging program, the following general terms apply in addition to our separate Mobile Terms of Service:

  • Messages may relate to your home sale inquiry, scheduling, offer updates, transaction information, and other communications you have authorized;
  • Message frequency depends on your inquiry and interaction with us;
  • Message and data rates may apply under your wireless service plan;
  • You may reply STOP to opt out of SMS messages and HELP for assistance; and
  • Wireless carriers are not responsible for delayed or undelivered messages.

We do not share SMS opt-in data or consent information with third parties for their own marketing or promotional purposes. Service providers that help us deliver communications may process such information solely to provide services on our behalf and subject to applicable restrictions.

7. Acceptable Use of the Website

You may use the Website for personal, lawful purposes related to learning about Restora or submitting a legitimate property inquiry. You agree not to:

  • Use bots, scrapers, spiders, automated extraction tools, or similar technology to collect Website content without written permission;
  • Attempt to gain unauthorized access to the Website, accounts, servers, databases, or related systems;
  • Interfere with the security, availability, or normal operation of the Website;
  • Submit information that you know is fraudulent, materially false, defamatory, unlawful, or intended to mislead;
  • Impersonate another person or falsely claim authority to act for a property owner;
  • Use the Website to transmit spam, malware, malicious code, or unlawful communications;
  • Reverse engineer or attempt to extract source code except to the extent such restriction is prohibited by law; or
  • Use the Website in a manner that infringes intellectual property, privacy, or other legal rights.

We may take reasonable technical or legal measures in response to suspected misuse, including limiting or terminating access to the Website.

8. Intellectual Property

The Website and its original content, design, graphics, logos, text, layout, photographs, software, and other materials are owned by Restora Capital Group, LLC or used under license and are protected by applicable copyright, trademark, and other intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for personal and non-commercial purposes. This permission does not allow you to reproduce, publish, distribute, sell, modify, create derivative works from, or commercially exploit Website content without prior written authorization.

Restora Home Buyers and related brand elements may be trademarks, service marks, or trade names of Restora Capital Group, LLC. No license to use our marks is granted except as expressly authorized in writing.

9. Third-Party Websites and Services

The Website may contain links to third-party websites, tools, or resources. We provide such links for convenience and do not control the content, availability, security, privacy practices, or business practices of third parties. A link does not necessarily indicate that Restora endorses or sponsors the third party.

When you leave our Website, the third party's own terms and privacy practices apply. You should review them before providing personal information or entering into a transaction.

10. Disclaimer of Warranties

WEBSITE PROVIDED AS AVAILABLE. To the fullest extent permitted by applicable law, the Website and Website content are provided on an "as is" and "as available" basis. We do not promise that the Website will be uninterrupted, error-free, completely secure, or suitable for every purpose.

We make reasonable efforts to maintain accurate Website information, but real estate markets, laws, services, and business practices can change. Website content may therefore become outdated or contain errors. You should independently verify information that is important to a legal, tax, financial, or real estate decision.

Nothing on the Website constitutes a guarantee that Restora will purchase a property, make a particular offer, close within a specific timeframe, or achieve any particular outcome.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Restora Capital Group, LLC and its members, managers, employees, agents, and representatives will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your access to, inability to access, or use of the Website.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or restricted. Rights and obligations arising from an actual purchase or sale of real property are governed by the applicable Purchase Agreement and any other transaction documents, not by this Website limitation of liability.

Some jurisdictions do not permit certain warranty exclusions or limitations of damages. In those jurisdictions, these provisions apply only to the extent legally permitted.

12. Indemnification

To the extent permitted by applicable law, you agree to reimburse and hold Restora harmless from third-party claims, losses, liabilities, or reasonable expenses that arise directly from your unlawful misuse of the Website, your knowing submission of materially false information, your infringement of another person's rights, or your material violation of these Terms.

This provision does not require you to indemnify Restora for losses caused by Restora's own conduct to the extent such an obligation would be prohibited by applicable law.

13. Privacy Policy

Our Privacy Policy explains how Restora collects, uses, discloses, safeguards, and retains information obtained through the Website and other interactions. By using the Website, you acknowledge that you have had an opportunity to review the Privacy Policy at www.restorahomebuyers.com/privacy-policy.

Text messaging and mobile communications are also subject to our Mobile Terms of Service at www.restorahomebuyers.com/mobile-terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law. These Terms are governed by the laws of the State of Florida, without applying rules that would require the law of another jurisdiction, except where federal law or another applicable law controls.

14.2 Good-Faith Informal Resolution. Before starting a formal dispute regarding the Website or these Terms, the complaining party should provide written notice describing the issue and allow the other party a reasonable opportunity to attempt an informal resolution. Notices to Restora may be sent to info@restorahomebuyers.com or the mailing address listed in Section 18.

14.3 Arbitration and Class Action Waiver. If informal resolution under Section 14.2 does not resolve the dispute, you and Restora agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Website, or online communications governed by these Terms (a "Dispute") will be resolved through binding arbitration rather than in court, except as set out below. A dispute arising from a signed Purchase Agreement or other transaction document is governed by that agreement or document and is outside this Section 14.3 unless the applicable transaction document expressly incorporates this arbitration provision.

  • (a) Rules and Administration. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Those rules are available at adr.org.
  • (b) Starting an Arbitration. Either party may begin an arbitration by filing a claim with the AAA and providing notice to the other party consistent with Sections 14.2 and 18.
  • (c) Location and Costs. The arbitration will be held in the county where the property that is the subject of the Dispute is located, or another location the parties agree to in writing. Restora will pay any arbitration filing, administrative, and arbitrator fees beyond the amount you would pay to file a claim in small claims court, consistent with the AAA's cost-allocation rules for consumer disputes.
  • (d) Small Claims Exception. Either party may instead bring an individual Dispute in small claims court if the Dispute qualifies under that court's jurisdictional limits.
  • (e) Class Action and Jury Trial Waiver. You and Restora each waive the right to a jury trial and the right to participate in a class action, collective action, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.
  • (f) Right to Opt Out. You may opt out of this arbitration provision by sending written notice to info@restorahomebuyers.com within 30 days of the date you first agreed to these Terms, including your name, the property address associated with your inquiry, and a clear statement that you wish to opt out. If you opt out, neither party is required to arbitrate future Disputes, but the rest of these Terms remain in effect.
  • (g) Severability. If the class or representative proceeding waiver in subsection (e) is found unenforceable as to a particular Dispute, that Dispute must be resolved in court rather than in arbitration, and the rest of this Section 14.3 remains in effect for other Disputes.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Website, our services, applicable law, or business practices. When we make changes, we will post the revised Terms and update the "Last Updated" date. Changes apply prospectively from the date they become effective unless applicable law requires otherwise.

Your continued use of the Website after revised Terms become effective means that the revised Terms will apply to your subsequent Website use. If you do not agree with a revision, you should stop using the Website.

16. General Provisions

16.1 Website Terms and Transaction Agreements. These Terms, together with the Privacy Policy and Mobile Terms of Service where applicable, govern your use of the Website. A Purchase Agreement or other written transaction document separately governs any real estate transaction. If transaction documents conflict with these Terms concerning the purchase or sale of a property, the transaction documents control.

16.2 Severability. If a court or arbitrator with authority over a dispute determines that part of these Terms is invalid or unenforceable, the provision should be enforced to the maximum extent legally permitted, and the remaining provisions will remain effective.

16.3 No Waiver. A delay or failure by Restora to enforce a provision does not waive the right to enforce it later. Any express waiver by Restora must be in writing and authorized by Restora.

16.4 No Agency or Partnership. Your use of the Website does not create an agency, partnership, joint venture, employment, fiduciary, or similar relationship between you and Restora.

16.5 Assignment. You may not transfer your rights or obligations under these Website Terms without Restora's prior written consent. Restora may transfer these Terms in connection with a corporate reorganization, business sale, merger, affiliate arrangement, or similar transaction, subject to applicable law.

16.6 Survival. Provisions that logically should continue after you stop using the Website, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related provisions, will survive to the extent permitted by law.

16.7 Electronic Communications. When you communicate with Restora electronically, you consent to receive communications from us electronically where permitted by law. Electronic notices may satisfy legal requirements that a communication be in writing, except where applicable law or a transaction document requires another form.

17. Accessibility

Restora Home Buyers is committed to providing a Website that is reasonably accessible to users, including individuals with disabilities. If you experience difficulty accessing Website content or using a Website feature, please contact us at info@restorahomebuyers.com. We will make reasonable efforts to provide assistance or an alternative method of accessing the information or service.
